Types of Agreements

1. Types of Contracts

Two types of contracts are used at ECU. Fixed Price Agreements require the contractor to do the work of the contract for a predetermined amount. This type of contract involves the greatest risk for the university. Preferred are Cost Reimbursable Agreements where the contractor estimates the amount required to do the project and bills the sponsor for the costs as they occur during the term of the contract up to a pre-determined limit. ECU's Office of Grants and Contracts will perform the billings of sponsors for the faculty.

2. Subcontracts/Consortium Agreements

a. ECU may be a subcontractor providing services to other universities or organizations. Faculty are usually selected for participation as a subcontractor based upon level of expertise in a given area.

b. ECU may also act as the primary sponsor by sponsoring another university or organization as a subcontractor.

3. Cooperative Agreements

These agreements are usually funded by federal sponsors. These agreements differ from contracts in that they allow a cooperative technical effort between the sponsor and university in obtaining the goals of the project. A cost-sharing element may also be involved in this type of agreement.

4. Master Agreement/Task Orders

This type of agreement establishes the core terms and conditions of a general program under a master agreement. Specific programs, duties and costs are identified further by individual task orders. This agreement arrangement may be used by federal and commercial sponsors.

5. Confidentiality Agreements

a. For-Profit sponsors usually require this type of agreement in order to protect their proprietary rights. These agreements require the investigator and university to maintain all provided sponsor information as confidential.

b. Faculty may have an idea or data that is worth discussing with a prospective sponsor. This type of agreement is required to protect intellectual property rights.

6. Materials Transfer Agreements

These agreements are required by a sponsor when providing university faculty with a compound or material to be used in the investigators research program. This type of agreement usually contains a confidentiality clause in addition to clauses addressing inappropriate uses of the material; e.g., not for use in human subjects. Project funding may or may not be provided under this type of agreement.

TIP: Completion of the University forms in the Proposal Preparation Package (Green Packet) is required for all projects involving a budget. ECU based projects that do not involve payment of funds by the sponsor do not require completion of the University forms.
